      Smart-Ring CEO Convicted in Nearly $2 Million Ponzi Scheme

      A federal jury has convicted wearable-technology executive Michelle Bisnoff, 59, of Boca Raton, Florida, on 16 criminal counts stemming from a nearly $2 million investment scheme involving Esos Rings Inc. Prosecutors said Bisnoff falsely represented that her company owned patents for near-field communication “smart rings” that actually belonged to her former employer, McLear Ltd., while telling investors that Esos was profitable, had major retail opportunities and was attracting investment from prominent companies. Evidence showed Esos had little revenue and lacked the business relationships Bisnoff promoted. Prosecutors said she used much of the investor money for personal expenses and Ponzi-style payments, leaving victims with approximately $1.4 million in losses. She was also convicted in connection with fraudulently obtaining a $150,000 federal COVID-19 Economic Injury Disaster Loan and using some of those funds for personal expenses. Bisnoff is scheduled to be sentenced January 21, 2027.

      The conviction of Michelle Bisnoff illustrates an old-fashioned investment fraud wrapped in the attractive packaging of modern technology. Federal prosecutors proved to a jury that Bisnoff sold investors a story about Esos Rings that bore little resemblance to the underlying business.

      The centerpiece was smart-ring technology allowing consumers to make payments using near-field communication. Bisnoff had previously worked with McLear Ltd., which possessed patents covering the technology. Prosecutors said she later created Esos and falsely presented patents belonging to McLear as assets controlled by her new company.

      That claim was accompanied by an increasingly impressive-sounding business narrative. Investors were told about profitability, manufacturing expansion, anticipated retail demand and supposed relationships involving recognizable companies. In reality, authorities said Esos had no agreement with Target, sold just six rings through Walmart.com—three of which were returned—and never secured purported investments from Apple or Roc Nation. A proposed licensing arrangement involving the Lord of the Rings brand also never materialized.

      The money trail was more damaging. Prosecutors said Bisnoff obtained nearly $2 million from investors, used much of it for personal expenses and made Ponzi-style payments intended to sustain confidence in the operation. Victims ultimately lost roughly $1.4 million.

      The case also extended into pandemic relief. Bisnoff fraudulently obtained a $150,000 Economic Injury Disaster Loan after misrepresenting Esos’s finances and then diverted some of the money to personal expenses, including rent on a Pacific Palisades residence costing approximately $15,600 per month.

      The broader lesson is straightforward: technological sophistication does not eliminate the need for basic investor due diligence. Patents, contracts, financial statements and claimed corporate partnerships can—and should—be independently verified before capital changes hands.
